2. Nature of the Membership Service
Le Privé operates a digital membership platform that provides eligible Members with access to selected privileges, participating Partners, membership credentials, and related opportunities.
Membership grants access to the services and benefits associated with the relevant Membership Tier, subject to applicable eligibility requirements, Partner conditions, and availability.
Le Privé does not guarantee that any particular Member will obtain a specific commercial, financial, professional, or lifestyle outcome.
Except where expressly stated in the applicable membership offer, Le Privé does not directly provide the goods, accommodation, transportation, hospitality experiences, or other products independently supplied by Partners.
Membership does not constitute ownership of the platform, its intellectual property, its commercial relationships, or any participating Partner's products or services.
No Membership confers an ownership interest, financial investment, deposit, credit facility, or entitlement to financial returns.
Le Privé retains the right to manage and develop its membership network, subject to its existing contractual obligations and applicable law.
3. Eligibility
Membership is available to individuals who:
- Are at least 18 years old or have reached the legal age of majority in their jurisdiction, whichever is higher.
- Have the legal capacity to enter into a binding agreement.
- Provide accurate, complete, and current registration information.
- Comply with these Terms and applicable laws.
- Meet any additional eligibility conditions applicable to their Membership Tier.
Members must not register on behalf of another person without appropriate authorization.
Le Privé may request reasonable identification or supporting documentation to verify eligibility, identity, payment authorization, or membership status.
Le Privé may reject or restrict applications where reasonably justified by fraud-prevention concerns, ineligibility, inaccurate information, security risks, or other legitimate operational requirements.
Submitting an application does not guarantee acceptance.
Where payment has been collected for a membership that Le Privé declines to activate, the payment will be refunded in accordance with applicable law.
4. Membership Categories
Le Privé offers paid lifestyle memberships and separately approved membership categories.
4.1 Privé Monthly Membership
Privé Monthly Membership is available through public registration.
The standard membership fee is US $37 per month.
Payment is collected in advance.
The membership renews automatically for successive monthly periods until cancelled.
Eligible Members receive access to the privileges associated with the Privé Membership Tier, subject to these Terms and applicable Partner conditions.
4.2 Privé Annual Membership
Privé Annual Membership is available for US $370 per year.
This represents a saving of US $74 compared with twelve monthly payments at the standard US $37 monthly price.
Annual Membership provides twelve months of access to the applicable membership services.
Annual Membership is purchased through a single payment and does not renew automatically.
4.3 Privé Noir Membership
Privé Noir is a premium annual membership category, available through the registration options expressly offered by Le Privé.
The stated annual membership fee is US $2,500.
Admission remains subject to eligibility, payment verification and acceptance by Le Privé. Any separately designated invitation-only offer requires the stated invitation.
Privé Noir includes standard Privé membership access, priority placement in the concierge desk's review queue, the ability to submit personal planning enquiries for eligible travel and lifestyle categories, and access to partner opportunities available to Noir members. Priority means requests are surfaced first in the review queue, not a guaranteed response time, booking, discount or result. Private invitations may be offered separately and are not guaranteed.
An invitation does not constitute a guarantee of acceptance or access to particular privileges.
Where a paid Privé Noir membership is offered for purchase, the essential characteristics of the membership being supplied must be disclosed before payment.
Members must not rely on anticipated or unannounced benefits when purchasing a membership.
Privé Noir memberships do not renew automatically.
4.4 Official Talent Membership
Official Talent Membership is reserved for individuals approved for participation in the Le Privé talent network.
Official Talent Membership is provided at no membership charge (US $0).
Admission may be based on invitation, application, review, or direct approval.
Admission does not guarantee representation, employment, campaign participation, sponsorship, bookings, compensation, or commercial opportunities.
Any paid collaboration, representation arrangement, or campaign engagement requires separate agreement.
Official Talent Membership is distinct from a paid lifestyle membership.
4.5 Affiliate Membership
Affiliate Membership is reserved for approved individuals participating in Le Privé's affiliate-related activities.
Affiliate Membership is provided at no membership charge (US $0).
Affiliate status does not automatically establish employment, agency, representation, or entitlement to compensation.
Commissions, referral payments, performance incentives, and other commercial arrangements are governed by separately accepted affiliate terms.
4.6 Restricted Memberships
Le Privé reserves the right to determine eligibility for invitation-only and privately approved membership categories using lawful and legitimate selection criteria.
Free Talent and Affiliate Memberships require separate approval and cannot be obtained through ordinary public lifestyle registration.
Purchasing a paid Membership does not guarantee admission to a restricted category.
5. Membership Applications and Acceptance
Membership applications are subject to review where applicable.
Le Privé may request additional information reasonably necessary to assess an application.
An application, invitation request, or expression of interest does not create an obligation for Le Privé to accept an applicant.
For paid memberships, submitting an order constitutes an offer to purchase the selected membership.
The membership agreement is formed when Le Privé accepts the order and confirms the membership purchase, subject to applicable consumer law.
Le Privé may decline transactions affected by suspected fraud, payment irregularities, material registration inaccuracies, or genuine technical or pricing errors.
Where a transaction is declined after payment has been collected, any amount that cannot lawfully be retained will be refunded.
6. Membership Activation and Duration
Paid memberships become active following successful payment verification and membership confirmation, unless a different commencement date is expressly agreed.
Membership access begins on the activation date communicated to the Member.
Monthly memberships provide access for the applicable monthly Billing Period.
Annual memberships provide access for twelve calendar months.
The applicable activation date, billing date, and expiration date will be recorded in the membership account or purchase confirmation.
An annual renewal payment extends membership access by twelve months from the later of the payment confirmation date or the existing membership expiration date.
Early renewal does not cause an existing paid membership period to be forfeited.
Where payment authorization fails or required verification remains incomplete, Le Privé may delay activation until the issue is resolved.
Le Privé may use reasonable technical and operational measures to verify membership eligibility and prevent unauthorized access.
7. Membership Accounts
Members may be required to create an account to access membership services.
Members are responsible for maintaining the confidentiality of their account credentials and for activity they authorize through their accounts.
Members must not:
- Sell, lease, transfer, or share membership accounts without authorization.
- Allow unauthorized third parties to use membership credentials.
- Create accounts using fraudulent identities.
- Circumvent account restrictions or membership eligibility requirements.
- Attempt to access another Member's account.
- Provide misleading registration or verification information.
Members must promptly notify Le Privé of suspected unauthorized access or account compromise.
Le Privé may require password resets, additional authentication, or identity verification where reasonably necessary to protect account security.
Members remain responsible for ensuring that their contact information is accurate.
8. Membership Fees and Payment Authorization
Membership fees are payable in advance.
By completing a purchase, Members authorize Le Privé and its authorized payment processors to collect the amount disclosed at checkout.
Accepted payment methods may include debit cards, credit cards, and other approved electronic payment services.
Le Privé may use third-party payment processors to securely facilitate transactions.
Members authorize the processing of payment-related information necessary to complete authorized transactions and administer subscriptions.
Where supported by the payment provider and permitted by law, updated payment credentials may be used to maintain an authorized recurring subscription.
Members must use payment methods they are legally entitled to use.
Fraudulent or unauthorized payments are prohibited.
Le Privé may reject or investigate transactions where legitimate fraud or security concerns exist.
9. Currency, Taxes and Additional Charges
Unless otherwise specified, membership prices are displayed in United States dollars (USD).
The final amount payable, including applicable taxes and mandatory charges, will be disclosed before the purchase is confirmed.
Where required by law, prices presented to consumers will include applicable VAT or other mandatory taxes.
Le Privé may apply the appropriate tax treatment according to the customer's location, the nature of the transaction, and applicable tax legislation.
Financial institutions and payment providers may apply independent currency conversion or transaction charges.
Le Privé is not responsible for charges independently imposed by a Member's financial institution.
Additional paid services or optional purchases require separate authorization unless already included in the disclosed membership price.
10. Automatic Renewal
Privé Monthly Membership renews automatically at the end of each monthly Billing Period unless cancelled.
By purchasing a monthly subscription, Members expressly authorize Le Privé and its payment processors to charge the selected payment method for successive monthly membership periods.
Automatic billing continues until the subscription is validly cancelled or terminated.
The applicable recurring fee and billing frequency will be disclosed before purchase.
Members may cancel automatic renewal through the My Membership section of their account.
Cancellation prevents future renewal charges and ordinarily allows access to continue until the end of the current paid period.
Privé Annual and Privé Noir Annual Memberships do not renew automatically.
All automatic renewal arrangements remain subject to mandatory applicable consumer legislation.
11. Failed Payments and Payment Recovery
Where a payment cannot be processed, Le Privé may:
- Request updated payment information.
- Retry the authorized transaction where permitted.
- Temporarily restrict access to paid membership privileges.
- Suspend membership until the payment issue is resolved.
- Cancel an unpaid membership in accordance with applicable law.
Le Privé may provide a payment grace period at its discretion but does not guarantee a particular grace period unless expressly communicated.
Members remain responsible for payment obligations that lawfully accrued before cancellation or termination.
Le Privé may seek lawful recovery of genuinely outstanding amounts.
No penalty, interest charge, or administrative fee will be imposed unless lawfully agreed and permitted by applicable law.
Members will not be charged for future membership periods following an effective cancellation.
12. Billing Errors, Overpayments and Disputes
Le Privé may investigate and correct genuine billing or processing errors.
Where a duplicate charge, overpayment, or incorrect payment is confirmed, the Company will arrange an appropriate correction or refund.
Where an underpayment has occurred, Le Privé may request payment of an amount legitimately owed.
No additional charge will be collected without a valid contractual or legal basis.
Members should notify Le Privé promptly if they identify a payment discrepancy.
Le Privé may request reasonable information needed to investigate a transaction.
Members retain all applicable rights to dispute unauthorized transactions and obtain payment remedies through their financial institution.
Knowingly fraudulent payment disputes or deliberate payment abuse may constitute a breach of these Terms.
13. Pricing Changes
Le Privé may revise membership prices for legitimate commercial, operational, economic, or regulatory reasons.
Updated prices may apply to new memberships and future purchases.
Changes will not retroactively affect completed membership purchases.
Where a proposed price change affects an existing recurring subscription, Le Privé will provide the notice, cancellation opportunity, and any required consent prescribed by applicable law.
No increased recurring fee will be charged where the required legal conditions have not been satisfied.
Members who do not accept a proposed increase may cancel their subscription before the increased fee takes effect.
Le Privé may introduce, discontinue, or modify promotional prices without affecting rights already acquired under completed purchases.
14. Membership Upgrades and Downgrades
Members may request changes between available Membership Tiers.
Upgrades and downgrades are subject to eligibility, availability, and the options supported by the platform.
Le Privé may determine the commercial terms of optional tier changes, provided those terms are disclosed before acceptance and comply with applicable law.
Before confirming a paid change, Members will be informed of the applicable new price, effective date, and any additional payment or credit.
Le Privé is not obliged to offer a particular upgrade, downgrade, prorated credit, or tier conversion unless required by law or expressly agreed.
Restricted Membership Tiers remain subject to separate eligibility and approval requirements.
15. Promotional Memberships and Discounts
Le Privé may offer introductory pricing, promotional subscriptions, complimentary periods, referral incentives, or other membership offers.
Promotional benefits are subject to the conditions disclosed with the relevant offer.
Le Privé may establish eligibility criteria, usage limits, expiration dates, and restrictions on combining promotions.
Unless expressly permitted, promotional offers are non-transferable and cannot be exchanged for cash.
A promotional fee does not guarantee continued access at that price after the expressly disclosed promotional period expires.
Where a promotion converts into a paid or recurring membership, the applicable price, renewal arrangements, and other legally required information must be disclosed and agreed before charges are collected.
Le Privé may correct genuine promotional errors and withdraw offers prospectively, subject to applicable law and existing contractual rights.
16. Membership Cancellation
Members may cancel Privé Monthly Membership at any time.
Cancellation may be completed through the My Membership section of the membership account or by contacting access@leprive.net.
Cancellation of a monthly subscription prevents subsequent automatic renewals.
Membership access ordinarily remains active until the end of the current paid Billing Period.
Annual memberships expire automatically at the end of their purchased term unless renewed.
Cancellation does not automatically entitle a Member to reimbursement for unused membership time, except where required by applicable law or expressly agreed by Le Privé.
Members are not required to provide a reason for cancelling an ordinary monthly subscription.
Le Privé will not impose a separate cancellation penalty.
Cancellation of Le Privé Membership does not automatically cancel separate purchases, reservations, or contracts entered into directly with third-party Partners.
17. Refunds and Statutory Withdrawal Rights
Le Privé provides ongoing digital membership services, including access to membership credentials, available privileges, participating Partners, and associated membership functionality.
Membership fees are charged in advance for the selected membership period.
17.1 General Refund Policy
Except where required by applicable law or expressly approved by Le Privé, membership fees are non-refundable following the expiration of any applicable statutory withdrawal period.
A Member's failure to use available membership privileges does not independently establish an entitlement to a refund.
Cancellation of an active membership does not automatically entitle the Member to a prorated refund.
17.2 Statutory Right of Withdrawal
Where applicable, Consumers entering into eligible distance contracts have the right to withdraw within 14 calendar days of concluding the contract, without providing a reason.
This period may be extended where required by law, including where legally required withdrawal information has not been provided.
Members may exercise a valid withdrawal right by communicating an unequivocal decision to withdraw to legal@leprive.net, using the model withdrawal form included with these Terms, or through another legally available withdrawal mechanism.
The statutory withdrawal right ordinarily relates to the conclusion of the relevant contract. A recurring payment does not automatically create a new withdrawal period unless applicable law provides otherwise.
17.3 Immediate Commencement of Services
Members may expressly request that Le Privé begin supplying membership services immediately following successful payment.
Where services commence during a statutory withdrawal period at the Member's express request, the Member acknowledges that a proportionate payment may be due for services already supplied if the Member subsequently exercises a valid withdrawal right.
Any amount retained must comply with applicable consumer legislation and may be charged only where all legally required conditions have been satisfied.
Immediate account activation or initial use of the membership platform does not, by itself, extinguish statutory withdrawal rights.
17.4 Digital Content Exception
Where Le Privé separately supplies qualifying digital content not provided on a physical medium, the statutory withdrawal exception under Article 103(m) of Spanish consumer legislation may apply.
This exception applies only where the relevant legal requirements have been satisfied, including any required prior express consent, acknowledgment of the loss of withdrawal rights, and contractual confirmation.
The exception does not automatically apply to ongoing digital membership services merely because access is provided electronically.
17.5 Refund Processing
Where a valid statutory withdrawal or other legal entitlement requires reimbursement, Le Privé will process the refund within the applicable statutory period.
Refunds will ordinarily be issued through the original payment method unless another lawful arrangement has been expressly agreed.
17.6 Mandatory Rights
Nothing in these Terms excludes, limits, or overrides mandatory rights arising under applicable Spanish, European Union, or other applicable consumer protection legislation.
18. Digital Service Conformity and Consumer Remedies
Le Privé will provide its contractual membership services in accordance with applicable legal requirements concerning digital services.
Where a supplied digital service fails to conform to the applicable contract, Members may exercise any mandatory remedies available under consumer protection law.
Depending on the circumstances, these remedies may include bringing the service into conformity, a proportionate price reduction, or termination of the affected contract.
Le Privé may take reasonable steps to investigate and correct reported technical defects.
Members should provide reasonable information needed to identify a technical problem, without prejudice to their statutory rights.
Any statutory remedy will be provided within the time and under the conditions required by applicable law.
This section does not establish an additional voluntary refund guarantee beyond the rights expressly stated in these Terms or required by law.
19. Membership Privileges and Benefits
Membership provides access to privileges and opportunities associated with the applicable Membership Tier.
Benefits may include:
- Selected Partner discounts and promotional offers.
- Hospitality and lifestyle privileges.
- Travel-related opportunities.
- Access to participating brands and businesses.
- Invitations to selected experiences.
- Membership-related services and offers.
- Additional privileges introduced by Le Privé.
Specific Benefits depend on eligibility, Membership Tier, geographic location, Partner participation, and availability.
Le Privé does not guarantee access to any particular venue, Partner, reservation, experience, upgrade, or preferential rate.
Where a specific benefit forms an essential part of a purchased membership offer, Le Privé will remain responsible for its applicable contractual and legal obligations.
Benefits may be subject to additional conditions communicated at the time of access or redemption.
20. Partner Relationships
Le Privé collaborates with independent third-party businesses and service providers.
Partners retain control over the goods and services they independently supply.
Partner relationships are not necessarily exclusive.
Unless expressly stated otherwise, Le Privé is not the seller, provider, booking agent, or contractual counterparty for goods and services purchased directly from a Partner.
Partner transactions may establish separate contractual relationships between Members and the relevant providers.
Partners may establish their own eligibility requirements, pricing, booking conditions, cancellation policies, and redemption restrictions.
Le Privé does not automatically assume responsibility for a Partner's independent contractual obligations.
Nothing in this section excludes any responsibility legally attributable to Le Privé.
21. Partner Redemption Conditions
Membership Benefits may be redeemed only by eligible Members and in accordance with the applicable offer conditions.
Unless expressly permitted, Members may not:
- Sell or transfer membership Benefits.
- Exchange Benefits for cash.
- Combine offers with unrelated promotions.
- Redeem offers using fraudulent credentials.
- Redeem benefits after membership expiration.
- Exploit Benefits for unauthorized commercial purposes.
- Circumvent published redemption limits.
- Misrepresent eligibility to a Partner.
Partners may request identity or membership verification before honoring an offer.
Partners may refuse redemption where the applicable conditions are not satisfied, subject to mandatory law.
Le Privé may establish reasonable usage limits and anti-abuse measures for Benefits, provided material restrictions are disclosed where legally required.
Membership does not constitute an unlimited entitlement to free or discounted third-party goods or services.
22. Privé Card
The Privé Card is a membership credential used to identify eligible Members and facilitate access to selected privileges.
The Privé Card may be provided digitally or through another format approved by Le Privé.
The Privé Card is not a payment card, stored-value account, credit facility, bank account, or financial instrument.
The Privé Card remains associated with the registered Member.
Members must not:
- Sell, lend, or transfer the card.
- Share card credentials with unauthorized individuals.
- Duplicate, manipulate, or counterfeit membership credentials.
- Distribute screenshots or QR codes for unauthorized redemption.
- Permit another person to impersonate the registered Member.
- Use revoked or expired credentials.
Le Privé may modify the technical format of the Privé Card for legitimate security, operational, or technological reasons.
Le Privé may suspend or revoke credentials where reasonable evidence of misuse or fraud exists.
Such action remains subject to the termination and consumer protection provisions of these Terms.
23. Partner Availability and Changes
Le Privé may add, remove, replace, or modify participating Partners and individual membership offers for legitimate operational, commercial, or regulatory reasons.
Individual Partner relationships may change or terminate.
Membership does not guarantee that a particular Partner or individual offer will remain available throughout the membership period.
Le Privé is not required to replace every withdrawn offer with an identical benefit.
However, material changes affecting the essential characteristics of a purchased membership remain subject to applicable contractual obligations and mandatory consumer rights.
Le Privé may establish new partnerships, introduce alternative Benefits, and change the composition of its membership network.
24. Material Changes to Membership Services
Le Privé distinguishes ordinary changes to individual Partner offers from material changes affecting the essential characteristics of the purchased membership service.
Ordinary Partner changes may include updated discounts, revised booking conditions, changes in availability, or replacement of individual participating businesses.
Where a change materially alters the essential characteristics of a paid membership, Le Privé will provide any notice, termination rights, refunds, or other remedies required by applicable law.
Le Privé does not guarantee the continuous availability of every individual feature where such availability has not been expressly promised.
Changes will not be used to circumvent contractual obligations relating to services already purchased.
25. Travel, Hospitality and Third-Party Bookings
Certain membership privileges may involve travel, accommodation, transportation, hospitality, or related services.
Such services may be supplied by independent agencies, venues, travel providers, or other third parties.
Members are responsible for reviewing the booking requirements and contractual conditions applicable to services they choose to purchase.
These may include:
- Reservation requirements.
- Cancellation restrictions.
- Identification and documentation requirements.
- Availability limitations.
- Additional taxes and service charges.
- Provider-specific conditions.
Unless expressly agreed otherwise, Le Privé does not guarantee confirmed bookings, preferential fares, room upgrades, venue admission, or successful fulfillment of a particular request.
Le Privé does not automatically act as a travel agency or organizer merely by facilitating access to third-party travel offers.
Where Le Privé separately undertakes regulated travel-related obligations, applicable mandatory travel legislation and any expressly agreed service terms will govern those obligations.
26. No Guaranteed Financial or Commercial Outcomes
Le Privé Membership is a lifestyle membership service and does not constitute an investment or income-generating product.
Le Privé does not guarantee that Members will recover their membership fees through discounts or savings.
Actual savings depend on individual usage, Partner availability, eligibility, and relevant offer conditions.
Membership does not guarantee:
- Any particular financial saving.
- Access to a specified number of discounts.
- Income or compensation.
- Employment or representation.
- Commercial partnerships.
- Sponsorship opportunities.
- Invitations to specific private events.
- Business or professional success.
Illustrative savings or potential benefit valuations are not guarantees of individual results.
Any specific offer expressly forming part of a contract remains subject to the relevant contractual obligations.
27. Availability and Operation of Digital Services
Le Privé may perform reasonable maintenance, updates, security improvements, or technical changes to its digital services.
Temporary interruptions may occur due to maintenance, network failures, third-party infrastructure, security incidents, or other operational circumstances.
Le Privé does not guarantee uninterrupted or error-free platform availability.
However, Le Privé remains responsible for meeting applicable contractual and statutory digital-service conformity requirements.
Members are responsible for maintaining compatible devices, internet access, and appropriate account credentials, subject to any functionality and compatibility requirements Le Privé is legally required to disclose.
Le Privé may introduce technical updates necessary for security, compatibility, or continued operation.
Where applicable law requires the provision of digital-service updates or remedies, those obligations remain unaffected.
28. Prohibited Conduct
Members must use Le Privé lawfully and responsibly.
Prohibited activities include:
- Fraudulent registration or payment activity.
- Unauthorized account sharing.
- Impersonation or identity misrepresentation.
- Misuse of Partner Benefits.
- Unauthorized commercial exploitation of the platform.
- Hacking, phishing, malware distribution, or security interference.
- Attempted unauthorized access to accounts or systems.
- Circumventing membership eligibility or payment requirements.
- Unauthorized extraction, scraping, or redistribution of protected platform information.
- Harassment, threats, unlawful discrimination, or abusive conduct.
- Infringement of intellectual property rights.
- Conduct that creates a substantial security risk or materially damages the legitimate interests of Le Privé or its community.
Le Privé may investigate suspected violations and implement reasonable protective measures.
29. Talent and Affiliate Participation
Official Talent and Affiliate Memberships are distinct from paid lifestyle subscriptions.
Participation is subject to separate approval and continued eligibility.
Le Privé does not guarantee representation, compensation, bookings, sponsorship, or commercial opportunities solely through admission.
Any paid services, referral commissions, representation arrangements, or campaign engagements must be separately agreed.
Talent and Affiliate Members may be subject to additional program-specific rules relating to professional conduct, intellectual property, confidentiality, advertising disclosures, campaign participation, or compensation.
Where separate commercial agreements exist, those agreements govern the relevant commercial relationship.
Membership alone does not establish employment, partnership, or agency.
30. Intellectual Property
All rights in the Le Privé and Revenue names, trademarks, logos, designs, graphics, software, membership systems, website content, and associated intellectual property belong to MERCACIO GROUP SL or their respective licensors.
Members receive a limited, personal, non-exclusive, non-transferable right to access the platform and related membership services for their intended purposes.
Members may not reproduce, distribute, modify, sell, sublicense, commercially exploit, or otherwise misuse protected materials without authorization.
Membership does not transfer ownership of intellectual property.
Members may not falsely suggest official endorsement, employment, representation, or commercial affiliation with Le Privé.
All rights not expressly granted remain reserved.
31. Member-Submitted Content
Members may submit photographs, biographies, social media references, profile information, or other materials in connection with their membership.
By submitting content, Members confirm that they possess the necessary rights and permissions.
Members grant Le Privé a non-exclusive, worldwide, royalty-free licence to use submitted materials to the extent reasonably necessary for membership administration, profile management, eligibility verification, and authorized communications.
This licence permits appropriate technical processing and use by service providers acting on Le Privé's behalf where necessary for the permitted purposes.
Members retain ownership of their original content.
Separate commercial or promotional uses of a Member's likeness will be subject to the necessary legal basis or authorization.
Members must not submit unlawful, misleading, defamatory, infringing, or otherwise prohibited material.
Le Privé may remove content that reasonably appears to violate these Terms or applicable law.
32. Privacy and Data Protection
Le Privé processes personal information in accordance with applicable data protection legislation, including the General Data Protection Regulation (GDPR), where applicable.
Personal information may be processed for purposes including:
- Membership administration.
- Account creation and authentication.
- Payment processing.
- Eligibility verification.
- Fraud prevention.
- Provision of membership services.
- Access to participating Partner Benefits.
- Customer support.
- Compliance with legal obligations.
Relevant information may be shared with authorized service providers or participating Partners where necessary and lawful.
Independent Partners may act as separate data controllers where they independently determine how personal information is processed.
Marketing communications will be provided in accordance with applicable consent and electronic marketing requirements.
Members may exercise applicable data protection rights using the contact details in the Privacy Policy.
Privacy Policy: https://www.leprive.net/legal/privacy
Privacy Contact: privacy@leprive.net
33. Third-Party Websites and Services
Le Privé may provide links or access to websites, platforms, booking systems, payment processors, or services operated by third parties.
These services may be subject to their own terms and privacy policies.
Le Privé does not control the independent operation of third-party platforms.
Members are responsible for reviewing the conditions applicable to services they choose to access.
A link to an independent website does not automatically constitute an endorsement or guarantee.
Le Privé remains responsible for obligations legally attributable to it.
34. Fraud Prevention and Account Investigations
Le Privé may implement reasonable systems to detect fraudulent transactions, unauthorized access, account misuse, and violations of these Terms.
Where legitimate concerns arise, Le Privé may temporarily restrict affected accounts or transactions while conducting an investigation.
Le Privé may request additional verification where reasonably necessary.
Members must cooperate with lawful and proportionate security verification procedures.
Where fraud or serious misconduct is confirmed, Le Privé may terminate access and pursue available legal remedies.
Le Privé may retain relevant records where necessary to comply with legal obligations, establish legal claims, or prevent further unlawful activity, subject to applicable data protection laws.
35. Suspension and Termination
Le Privé may suspend, restrict, or terminate membership where reasonable grounds exist involving:
- Fraud or attempted fraud.
- Unauthorized use of membership credentials.
- Serious security breaches.
- Material violations of these Terms.
- Unlawful conduct.
- Serious abuse of Members, employees, or Partners.
- Other conduct creating a substantial and legitimate risk to the platform or membership network.
Where appropriate, Le Privé may provide notice and an opportunity to remedy the breach.
Immediate suspension may occur where reasonably necessary to prevent fraud, protect security, comply with legal obligations, or address serious misconduct.
Where membership is terminated due to a Member's material breach, any refund entitlement will be determined in accordance with applicable law.
Members terminated for serious violations may be restricted from creating additional accounts without prior authorization, where lawful and proportionate.
Le Privé may discontinue a membership category or service for legitimate business reasons, subject to its contractual obligations.
Where Le Privé terminates a paid membership without Member misconduct before the purchased period expires, the Member will receive any refund or remedy required by law, including an appropriate refund for prepaid services not supplied.
Termination does not extinguish rights or obligations accrued before the termination date.
36. Limitation of Liability
To the maximum extent permitted by applicable law, Le Privé shall not be liable for indirect or consequential losses arising from membership participation, including anticipated savings, lost business opportunities, or lost profits that were not expressly guaranteed.
Le Privé does not guarantee uninterrupted operation of the membership platform or continuous availability of individual third-party Benefits.
The Company does not automatically assume liability for the independent acts, omissions, or contractual obligations of participating Partners.
Members remain responsible for their independent decisions to purchase goods or services from third parties.
Nothing in these Terms excludes or limits liability for:
- Fraud or fraudulent misrepresentation.
- Intentional misconduct where liability cannot lawfully be excluded.
- Death or personal injury where liability cannot lawfully be excluded.
- Mandatory consumer protection obligations.
- Statutory digital-service conformity requirements.
- Any other liability that cannot legally be excluded or restricted.
Any limitation of liability will operate only to the extent permitted by applicable law.
37. Indemnification
To the extent permitted by applicable law, Members agree to compensate Le Privé for reasonably foreseeable losses directly resulting from their unlawful activities, intentional misconduct, or material breaches of these Terms.
Such compensation may include reasonable expenses incurred in responding to legitimate third-party claims directly caused by the Member's conduct, where legally recoverable.
Members are not required to compensate Le Privé for losses resulting from the Company's own unlawful conduct or negligence where liability cannot lawfully be excluded.
Nothing in this section restricts mandatory consumer rights.
38. Complaints and Customer Support
Members may contact Le Privé regarding membership access, billing, cancellations, refunds, or other membership-related issues.
Complaints may be submitted through the customer-service channels published by Le Privé, including the applicable electronic, postal, and telephone channels required by law.
Le Privé will provide an acknowledgment or complaint reference and appropriate confirmation of the complaint in accordance with applicable law.
Consumer complaints will be addressed within the applicable statutory response period. Mandatory complaint-handling and acknowledgment requirements remain unaffected.
Members may contact:
Email: access@leprive.net
Postal Address: MERCACIO GROUP SL, Avenida Chipiona, Calle Bobadilla, Número 24,
11408, Cádiz, Spain.
Nothing in these Terms prevents a Consumer from submitting complaints to competent consumer protection authorities or using legally available dispute-resolution procedures.
39. Changes to Membership Terms
Le Privé may revise these Terms for legitimate operational, commercial, technical, security, or regulatory reasons.
Updated Terms will be published on the Le Privé website.
Changes will apply prospectively unless otherwise permitted by law.
Where a change materially affects existing contractual rights or obligations, Le Privé will provide any legally required notice, consent procedure, or termination option.
Changes will not retroactively remove rights already acquired under a paid membership period.
Le Privé may correct typographical errors or clarify provisions where doing so does not unlawfully diminish existing contractual rights.
40. Communications and Contractual Notices
Le Privé may communicate with Members concerning account administration, membership status, billing, security, contractual matters, and service-related information.
Communications may be delivered through the registered email address, membership account, or another legally permitted communication method.
Where legislation requires information to be provided on a durable medium, Le Privé will use an appropriate method.
Members are responsible for maintaining accurate contact details.
Marketing communications are separate from essential contractual and service communications and remain subject to applicable marketing legislation.
41. Force Majeure
Le Privé shall not be liable for delays or failures in performance caused by circumstances beyond its reasonable control, to the extent permitted by applicable law.
Such circumstances may include natural disasters, major infrastructure failures, governmental restrictions, widespread network disruptions, or other extraordinary events.
Le Privé will take reasonable measures required by applicable law to address affected services.
Force majeure does not remove mandatory refund, termination, or other consumer rights.
42. Assignment and Transfer
Membership rights are personal and may not be transferred by Members without prior written authorization.
Le Privé may transfer its rights or obligations in connection with a legitimate corporate restructuring, merger, acquisition, or business transfer, provided the transfer complies with applicable law and does not unlawfully diminish Member protections.
Any required notices or consents will be provided or obtained.
43. Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision shall be ineffective to the extent of the invalidity.
The remaining provisions will continue to apply where legally permissible.
No invalid provision will be interpreted or replaced in a manner that deprives Consumers of mandatory legal protections.
44. Waiver
Failure or delay by Le Privé to enforce any provision of these Terms does not automatically constitute a waiver of the right to enforce that provision.
Any waiver applies only to the specific circumstances in which it is validly granted.
45. Entire Agreement
These Terms, together with the applicable membership description, accepted order information, Privacy Policy where relevant, and any separately agreed supplementary conditions, govern the membership relationship.
Where a specific benefit or service is governed by additional terms, those terms apply to that benefit or service.
In the event of a conflict concerning expressly purchased features, the applicable contractual description accepted at checkout shall take precedence over a conflicting general statement, subject to mandatory law.
No general disclaimer in these Terms shall override specific contractual commitments expressly accepted by Le Privé.
46. Governing Law and Jurisdiction
These Terms are governed by the laws of Spain.
The courts of Cádiz, Spain, shall have non-exclusive jurisdiction over disputes arising from or relating to these Terms.
Where mandatory consumer protection legislation permits Members to bring proceedings before courts in their country of residence, those rights remain unaffected.
Nothing in these Terms deprives Consumers of mandatory legal protections applicable in their jurisdiction.

48. Points and rewards
Where enabled for your membership and an eligible offer, Privé points are loyalty units, not money, a deposit, a payment account or an investment. Membership does not guarantee a particular earn rate, reward allocation or cash return. Any expressly agreed affiliate or Talent payment remains a separate commercial entitlement.
Available and pending points are displayed separately. Pending points cannot be redeemed. The applicable offer must disclose eligibility, funding, earning conditions, any expiry and redemption restrictions before use. Confirmed cancellations, refunds, duplicate credits, fraud or processing errors may result in proportionate corrections or reversals, with mandatory rights preserved.
Redemption requires sufficient available points, eligible active membership where the offer requires it, and available reward allocation. The points cost, participating location, validity and any appointment requirement are shown before confirmation. A confirmed redemption is recorded once; a reward pass does not itself confirm a reservation or appointment.
Points and rewards are personal and non-transferable unless the applicable offer expressly permits otherwise. Expiry or membership termination does not automatically extinguish rights already acquired under an expressly agreed offer; the disclosed reward conditions and mandatory law govern any remaining use or remedy.
49. Reservations, invitations and event passes
Where these features are enabled, a reservation request, invitation application, waitlist entry or expression of interest remains pending until the relevant provider or host confirms acceptance and any required payment is verified. Submission alone does not create a confirmed booking, guarantee admission or issue a valid entry pass.
Before a paid booking or event is accepted, the offer must identify the supplier, the role of Le Privé, the total price and mandatory charges, dates, guest limits, inclusions, cancellation terms and any separate provider conditions. External booking handoffs are identified expressly. Le Privé remains responsible for obligations legally attributable to its actual role.
A requested date change does not cancel or replace an existing confirmed booking unless and until the provider accepts the change. Cancellation, cancellation charges and refund processing have separate statuses. A refund shown as pending is not a completed reimbursement.
Passes may require identity verification, host approval, valid membership or compliance with a published guest policy. Pending, declined, waitlisted, cancelled or expired requests do not confer admission. App mockups and demonstration codes are illustrative and are not valid credentials.
50. Editorial, community and saved collections
Where offered, magazine stories may be freely accessible or restricted to eligible active Members as indicated. Membership does not guarantee editorial coverage, publication of submitted content, or access to unannounced features. Articles are editorial information; a recommendation does not itself create a booking or member entitlement.
Members remain responsible for their posts, comments and submitted material and must not publish unlawful, infringing, misleading, abusive or discriminatory content, private information without authorization, or undisclosed commercial advertising where disclosure is required.
Where community features are enabled, users may report content or accounts and use available blocking controls. Le Privé may review reports and apply proportionate moderation, explain restrictions and provide applicable review or appeal mechanisms as required by law. Mandatory intermediary-service obligations are not displaced by these Terms.
Saved places, stories and collections are private by default unless a Member deliberately chooses an available sharing action. Public sharing, public Talent profiles and promotional use of a Member’s likeness require the relevant choice, permission or legal basis. A member-content licence does not authorize unrelated paid advertising or unrestricted commercial exploitation.
51. Talent workspace, collaborations and affiliate programs
An approved Talent role is required for professional workspace features where enabled. A paid lifestyle membership, Talent application, expressed interest or public profile does not establish Talent approval, a contract, a booking or a right to earnings.
Talent opportunities, UGC campaigns and content production require separate agreement of deliverables, dates, usage rights, compensation, expenses, cancellation and any approval or revision process. Submitting a delivery does not itself mean it has been approved. Earnings and payouts reflect the applicable agreement and distinguish pending, approved, processing, paid and failed amounts.
Public Talent profiles require approval and an affirmative visibility choice. Only approved public fields are displayed; private contact details, fees, bookings and payout information are not public profile content. Sensitive preferences and professional enquiries are handled under the Privacy Policy.
Affiliate eligibility, attribution, qualifying payments, exclusions, reversals, payout conditions, taxes and promotional disclosures are governed by separately accepted program terms. No commission rate, referral tree or guaranteed income is created by this membership agreement.
52. Partner applications and features in development
Applying to the direct Privé partner network is free. A venue application is reviewed before any listing or offer is published. Joining the network does not require buying a UGC campaign, subscribing as a lifestyle Member or accepting an undisclosed commission.
Partner benefits, eligibility, availability, booking routes, compensation and any commercial conditions require separate agreement. These Membership Terms do not replace the partner agreement or any Talent, UGC, affiliate or provider-specific contract.
Features shown in prototypes, demonstrations, future app maps or illustrative screens are not supplied or promised merely because they are shown there. Actual included services and limitations must be stated in the accepted membership or service offer. Any material commitment expressly made at purchase remains binding; these Terms do not remove mandatory remedies.
